Effective Date: September 18, 2026
These Terms & Conditions constitute the service agreement between The Assembly Company LLC (“Company,” “we,” “us,” or “our”) and the customer (“Customer,” “you,” or “your”).
By approving a quote, electronically accepting these Terms, paying a deposit, or authorizing us to begin work, you agree to these Terms & Conditions.
The Assembly Company LLC provides assembly and related services for products including gazebos, pergolas, playsets, sheds, furniture, and other approved products.
The specific scope of work, price, and services included will be described in your estimate, quote, invoice, or work order.
Only work specifically listed in the approved quote is included. Additional work requested by the Customer may result in additional charges.
Unless specifically stated otherwise, the Customer is responsible for purchasing and supplying the product to be assembled.
Before the scheduled service date, the Customer is responsible for ensuring that:
The Assembly Company LLC is not the manufacturer, retailer, or seller of Customer-supplied products.
We are not responsible for manufacturing defects, missing parts, damaged parts, incorrect shipments, incorrect dimensions, defective hardware, inaccurate manufacturer instructions, or damage that occurred before our work began.
We may inspect components during assembly, but we cannot guarantee that damaged, defective, incorrect, or missing parts will be discovered before work begins.
If assembly cannot be completed because of missing, defective, damaged, or incorrect components, the Customer remains responsible for work already performed.
A return visit required because of a Customer-supplied product issue will be subject to a minimum $199 return-trip charge, plus any additional labor required.
The Customer is responsible for obtaining replacement parts from the retailer or manufacturer unless otherwise agreed in writing.
The Customer agrees to provide accurate information regarding the product being assembled, including the make, model, product link, dimensions, and any other requested information.
Pricing is based on the information provided by the Customer.
If the product on site differs materially from the product described when the quote was prepared, The Assembly Company LLC may revise the price before beginning or continuing work.
A deposit may be required to reserve an installation date.
Unless otherwise stated in writing, the deposit is applied toward the total project price.
Scheduling is not guaranteed until the required deposit has been received.
Deposits compensate The Assembly Company LLC for reserving crew time, scheduling, administrative costs, and work that may be declined in reliance on the scheduled appointment.
Any cancellation rights required by applicable Michigan or federal law remain unaffected by these Terms.
Customers may cancel or reschedule a scheduled project subject to the following terms:
If the Customer reschedules rather than cancels, The Assembly Company LLC may, at its discretion, apply some or all of the existing deposit toward the rescheduled project.
These cancellation terms are intended to compensate The Assembly Company LLC for reserved crew time, scheduling losses, administrative costs, and work that may have been declined in reliance on the scheduled appointment.
Any statutory cancellation rights provided by applicable Michigan or federal law take precedence over this section.
The Customer is responsible for ensuring that the work area is ready when our crew arrives.
The installation area must be:
Snow, ice, standing water, excessive mud, unsafe terrain, or other conditions may prevent work from proceeding.
The Customer must provide reasonable access to electricity when power tools are required unless other arrangements have been made.
Unless specifically included in writing, The Assembly Company LLC does not provide grading, excavation, concrete work, foundation construction, electrical work, plumbing, landscaping, or major site preparation.
If our crew arrives at the scheduled appointment and cannot reasonably begin work because of circumstances within the Customer's control, the Customer may forfeit the scheduled-service deposit.
Examples include:
A new deposit or additional scheduling charge may be required before another appointment is scheduled.
If work begins but cannot be completed because of conditions outside The Assembly Company LLC's reasonable control, a return trip may be required.
Return trips are subject to a minimum $199 return-trip charge, plus any additional labor or expenses required to complete the project.
Examples include:
The Customer is responsible for providing a suitable location for the product being assembled or installed.
If we determine that the proposed installation location is unsafe, unsuitable, excessively unlevel, unstable, or incompatible with manufacturer requirements, we may stop work until the condition is corrected.
Additional work caused by site conditions may require a revised quote.
The Customer must inform us of known underground or concealed utilities, irrigation systems, wires, pipes, drainage systems, septic components, or other concealed property that could be affected by anchoring, drilling, staking, or installation.
The Assembly Company LLC will not knowingly perform excavation or subsurface work requiring utility locating or permitting unless specifically included in the scope of work.
We are not responsible for damage to undisclosed or improperly located concealed items except to the extent responsibility cannot legally be excluded.
Products will generally be assembled according to manufacturer instructions and specifications.
The Assembly Company LLC may decline Customer requests that conflict with manufacturer instructions, building requirements, safety practices, or our professional judgment.
Customer-requested modifications or deviations may require additional charges and may affect the manufacturer's warranty.
Removal, disassembly, hauling, and disposal of an existing structure are not included unless specifically listed in the quote.
Pricing for existing structure removal may vary based on:
Unexpected concrete footings, buried anchors, electrical components, hazardous materials, or other concealed conditions are not included unless specifically stated.
The Assembly Company LLC will perform reasonable cleanup of debris created directly by our assembly work.
Product packaging may be consolidated and placed in an agreed location on the property.
Removal of cardboard, pallets, packaging, old structures, or other Customer property is not included unless specifically stated in the quote.
Customers are responsible for keeping pets, children, guests, and other persons safely away from the active work area.
Pets must be secured while our crew is working.
The work area and access route must be reasonably free from animal waste.
If unsafe conditions prevent work from proceeding, additional trip or rescheduling charges may apply.
Any work not included in the original quote is considered additional work.
Changes may include:
Additional work may require an updated quote or additional payment.
Outdoor installation is subject to weather and site conditions.
We may postpone, suspend, or stop work because of rain, thunderstorms, lightning, high winds, extreme temperatures, snow, ice, unsafe ground conditions, or other circumstances that could affect safety or workmanship.
Weather-related schedule changes do not constitute a breach of this agreement.
Any estimated installation date, completion date, or project duration is an estimate unless specifically guaranteed in writing.
Actual completion time may be affected by weather, product complexity, manufacturer errors, missing components, site conditions, Customer-requested changes, or other circumstances outside our reasonable control.
Payment terms will be stated on the Customer's quote or invoice.
Unless otherwise agreed in writing:
The Customer will receive a 24-hour grace period following completion to submit the final balance.
Payment is considered due when the agreed assembly or installation work has been substantially completed, even if minor cosmetic corrections or Customer-supplied product issues remain.
The Customer may not delay or withhold payment because of defects, missing components, manufacturing issues, or other problems involving Customer-supplied products that were not caused by The Assembly Company LLC.
The Customer may not delay payment solely because they are unavailable to personally inspect the completed work unless different payment terms were agreed to in writing before the project began.
If the final balance remains unpaid:
These amounts are intended to compensate The Assembly Company LLC for administrative time, payment follow-up, disruption, and collection efforts associated with an overdue account and are not intended as a penalty.
If the balance remains unpaid after seven days, The Assembly Company LLC may refer the account for collection, pursue available legal remedies, and recover reasonable collection costs to the extent permitted by law.
Nothing in this section authorizes a fee or collection charge prohibited or deemed unenforceable under applicable law.
The Assembly Company LLC does not provide or extend the manufacturer's warranty for products supplied by the Customer.
Questions involving defective materials, replacement components, structural design, product performance, rust, fading, cracking, warping, manufacturing defects, or product warranties should be directed to the manufacturer or retailer.
The Assembly Company LLC will perform assembly services in a professional and workmanlike manner.
If you believe there is a problem caused by our workmanship, you must notify us within 30 days of project completion and provide us a reasonable opportunity to inspect and correct the issue.
This workmanship provision does not cover:
Nothing in this section limits rights that cannot legally be waived.
The Assembly Company LLC is not responsible for damage resulting from preexisting defects, deterioration, rot, weak surfaces, improperly constructed foundations, damaged landscaping, unstable soil, deteriorated concrete, hidden defects, or other preexisting conditions.
If such a condition becomes apparent during the project, work may be suspended until the Customer approves any necessary changes.
The Customer authorizes The Assembly Company LLC and its employees or contractors to enter the property as reasonably necessary to perform the agreed services.
The Customer is responsible for ensuring we have lawful permission to work at the designated location.
The Customer must disclose known property restrictions, setback requirements, easements, homeowners association requirements, or other restrictions that could affect the project.
Responsibility for permits or approvals will be determined by the scope of work and applicable law.
Where applicable law requires The Assembly Company LLC to obtain a permit or perform work through an appropriately licensed contractor, those requirements control over this agreement.
Upon completion, the Customer should inspect the work and promptly identify any visible workmanship concerns.
Final payment does not waive any rights that cannot legally be waived.
The Assembly Company LLC provides assembly and installation services. We do not design, engineer, manufacture, certify, or warrant Customer-supplied products.
We cannot guarantee the durability, structural capacity, weather resistance, lifespan, or fitness of a Customer-supplied product for a particular purpose.
The Assembly Company LLC may photograph the project for internal documentation, quality control, and recordkeeping.
We will not intentionally publish identifying photographs of a Customer or private personal information without appropriate permission.
The Customer agrees that quotes, invoices, agreements, notices, approvals, and signatures may be provided electronically.
Electronic acceptance, electronic signatures, approval of a quote, payment of a required deposit, or authorization to begin work may be treated as acceptance of this Service Agreement to the extent permitted by law.

This agreement is governed by the laws of the State of Michigan.

Certain transactions may provide the Customer with a statutory right to cancel.
When applicable law requires a specific cancellation notice, form, disclosure, or cancellation period, The Assembly Company LLC will provide and honor those requirements.
